This Terms of Service (“Terms”) is a binding agreement between you (referred to herein as “the Customer”, “you” or “your”) and Convert Yazılım Limited Şirketi, a company incorporated under the laws of Türkiye, and where applicable its subsidiaries, affiliates and related corporations (referred to herein as “Model.store”, “the Company”, “we”, “us” or “our”), concerning your access to and use of other linked channels, mobile websites or applications (collectively, the “Platform”).
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. THROUGH ACCESSING THE PLATFORM, USING THE SERVICES OR CLICKING “AGREE”,”CONTINUE”, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS TERMS. IF YOU DO NOT AGREE WITH THE TERMS, YOU SHOULD IMMEDIATELY DISCONTINUE USING THE
PLATFORM AND SERVICES. Additional terms and conditions may be set forward on the Platform or this Terms may be amended by hereby acknowledge that you are bound with all additional terms and documents and the latest version of this Terms published on the Platform. You are responsible of checking the updated Terms periodically and we are not under any obligation of notifying such changes. This Platform can be accessed through various locations and jurisdictions. Customers who choose to access the Platform from such locations do so on their own initiative and are solely responsible for compliance with applicable local laws, and they shall not use the Platform unless it is permitted under the applicable laws. You may not access or use this Platform or the Services if you: (i) do not agree to these Terms; (ii) are under 18 years of age or otherwise lack the legal capacity to enter into binding agreements in your jurisdiction of residence; (iii) are a consumer or individual using the Platform for personal, non-commercial purposes; or (iv) are prohibited from accessing or using this Platform or the Services, or any of their contents, products, or functionalities under applicable law. The Platform and Services are intended solely for use by developers, businesses, and other commercial entities for legitimate development and integration purposes. Customers may allow their End Users to access and use the Customer’s own integrated solutions that utilize the Services, but remain fully responsible for ensuring that such End Users comply with these Terms and applicable laws.
1. Defined Terms and Interpretation
1.1. Capitalized terms used in these Terms shall have the meanings set forth in this Section or, where the
context so requires, as expressly defined in other parts of these Terms. Any definition introduced elsewhere in these Terms shall apply equally throughout the entire document unless the context requires otherwise. Singular terms include the plural and vice versa; references to “including” shall mean “including without limitation.”
1.2. For purposes of these Terms:
“API” means the application programming interface and related software, documentation, and technical materials provided by Model.store that enable Developers and Customers to access and interact programmatically with the Services and Models through authorized requests, calls, or integrations. “Customer” means the individual or legal entity entering into these Terms to use the Platform and Services for commercial, development, or integration purposes. “Credits” means prepaid, non-monetary units issued by Model.store that may be used solely to offset fees for the pay-per-use consumption of Services or Content available on the Platform. Credits have no cash value, are non-transferable, non-exchangeable, and may not be redeemed for money or any other consideration. The purchase and use of Credits are governed exclusively by these Terms and the applicable Payment, Cancellation and Refund Policy. “Content” means all data, code, software, APIs, documents, model outputs, designs, interfaces, documentation, and any other materials provided through the Platform or Services. “Cookie Policy” means the cookie and tracking technologies policy of Model.store, as published and made available on the Platform and updated from time to time, which explains the types of cookies and similar technologies used on the Platform, their purposes, and how users can manage their preferences. The version of the Cookie Policy in force at the time of access or use shall apply. “Developers” means individuals or legal entities that access or use the Platform and Services for development, integration, or commercial implementation purposes, including the testing, deployment, or maintenance of their own software or systems. The term “Developer” may be used interchangeably with “Customer” where the context so permits. “End Users” means the individual or organizational users of a Customer’s own applications, products, or systems that incorporate or interface with the Services through APIs or integrations. End Users may indirectly access the Services via the Customer’s solutions, but have no direct contractual relationship with Model.store. Customers remain fully responsible for all End Users’ actions, data, and compliance under these Terms. “Models” means the artificial intelligence models developed, fine-tuned, or hosted by Model.store, as well as models provided by approved third-party providers (such as OpenAI or Google) made accessible through the Platform. “Payment, Cancellation and Refund Policy” means Model.store’s policy, as published and made available on the Platform and updated from time to time, which sets forth the terms and conditions governing payment methods, billing, cancellation, credit expiration, and refund procedures for the Services. The version of the Payment, Cancellation and Refund Policy in force at the time of the relevant transaction shall apply. “Platform” means the website, APIs, dashboard, software interface, and all other digital components operated or controlled by Model.store to provide the Services.
“Privacy Policy” means the privacy policy of Model.store, as published and made available on the Platform and updated from time to time, which governs the collection, processing, storage, and disclosure of personal, technical, and usage data in connection with the Platform and the Services. The version of the Privacy Policy in force at the time of access or use shall apply. “Services” means the API-based artificial intelligence access and management platform operated by billing, and related administrative functions. “Third-Party Providers” means independent service providers or licensors whose models, APIs, infrastructure, or payment services are integrated into or support the Model.store Platform.
2. Services and the Platform
2.1. Model.store is a platform that provides Developers with access to artificial intelligence models
through an API interface. The Platform enables access to models developed and fine-tuned by limited to; OpenAI and Google. This unified structure allows Developers to utilize different providers’ models through a single standardized infrastructure. Model.store aims to ensure that Developers can securely, efficiently, and scalably integrate these APIs into their own applications and services. All Models are offered on a pay-per-use basis, where Customers are charged only for actual API calls and computational consumption. Pre-purchased credits, if available, are automatically deducted as usage occurs. The Platform further provides centralized tools for access management, usage statistics, billing, and security operations. The objective of Model.store is to simplify the integration of artificial intelligence technologies, accelerate the development of innovative products, and make access to AI more attainable for all commercial users.
2.2. Customers may integrate the Services into their own systems for use by their End Users, provided
that End Users interact only through the Customer’s controlled environment, have no direct access to the Platform or APIs, and their activities comply with these Terms and applicable law. The Customer remains responsible for all acts, omissions, and use of the Services by its End Users.
2.3. To use the Services and Content, you and/or your End Users must have compatible hardware,
software (latest versions recommended and sometimes required), and reliable internet access (fees may apply). The performance and functionality of the Services and Content may be affected by these factors. You are responsible for ensuring that your own systems and/or those of your End Users meet all technical requirements set out on the Platform or in any applicable end-user license agreements (as applicable) or related documentation. Model.store shall not be liable for performance issues arising from hardware, software, or network deficiencies on the part of you and/or your End Users.
2.4. Model.store may, at its own discretion and at any time, modify, enhance, suspend, or discontinue
any part of the Services, or add new Services, without prior notice or liability, provided that such changes do not materially reduce the core functionality of any paid Services already in effect. suspend, or prevent End Users from accessing or using the Services or Content, either temporarily or permanently. Model.store will make commercially reasonable efforts to maintain continuity for active Customers during such changes or restrictions.
3. User Representations and Warranties
3.1. By accessing or using the Platform or Services, you represent and warrant that:
3.1.1. You are at least 18 years old and have full legal capacity to enter into and be bound by these
Terms;
3.1.2. If you are acting on behalf of a legal entity, you have the full power, authority, and right to
bind that entity to these Terms, and your use of the Platform does not violate any other agreement to which you or the entity are a party;
3.1.3. You are accessing and using the Platform and Services solely for commercial, development,
or integration purposes, and not as a consumer for personal use;
3.1.4. You will comply with all applicable local, national, and international laws and regulations
in connection with your use of the Platform and Services;
3.1.5. You will ensure that all End Users comply with these Terms and applicable laws;
3.1.6. You will not exploit, attempt to exploit, or cause to be exploited any part of the Platform,
Services, or Content, including through automated means, reverse engineering, or use of the Services beyond their intended purposes;
3.1.7. You will not abuse, disrupt, or interfere with the normal operation or security of the
Platform or Services, and will use them only as intended, in good faith, and in accordance with applicable documentation; and
3.1.8. All information you provide to Model.store is and will remain accurate, complete, and up
to date.
3.2. Model.store reserves the right to suspend or terminate your access to the Platform or Services, or
delete your account, if any information you provide is inaccurate, incomplete, misleading, or false, or if you breach any of the representations, warranties, or eligibility requirements set forth in these Terms, or otherwise misuse or abuse the Platform, Services, or Content.
4. User Accounts and Registration
4.1. To access or use certain features of the Platform and Services, you may be required to create an
account. Model.store may offer various registration and authentication options, including but not limited to third-party identity providers (such as Google or GitHub) or direct registration using credentials created within the Platform. These examples are illustrative only, and Model.store may introduce, modify, or discontinue authentication or registration methods at any time. Model.store may also allow limited or trial access to certain features without requiring account authentication, subject to applicable restrictions or limitations.
4.2. During registration, you may be asked to provide information including, without limitation, your
name, email address, organization, tax id, billing details, and other data reasonably necessary to verify your identity or manage your account. Model.store may, at any time, request additional information, documentation, or verification to ensure compliance with applicable law or internal security standards.
4.3. You may be requested or required to use a username and password to access your account and use
the Services. Model.store may also require submission of a mobile phone number and/or email address to receive one-time passwords (“OTP”) for login verification. By using the OTP login method, you consent to receiving messages (SMS or email) containing the OTP from Model.store. You are responsible for creating a strong password, maintaining the confidentiality of your password or OTP, and safeguarding your account’s security. You must not share your password or OTP with any unauthorized third parties. If you become aware or suspect that your credentials have
been disclosed or your account accessed without authorization, you must immediately inform your account and accept all risks of any authorized or unauthorized access, to the maximum extent permitted by law.
4.4. You agree to provide accurate, current, and complete information at registration and to keep your
account information up to date. Information you provide during registration and use of the Platform may be processed and shared with third parties as necessary to provide the Services, in accordance with applicable laws and the Model.store Privacy Policy. Model.store may suspend or terminate your account if the information you provide is false, incomplete, misleading, or outdated.
4.5. You acknowledge and agree that Model.store may send you communications, including service
notices and updates relating to your use of the Platform and Services, through the communication channels you provide (including email or SMS). Such notifications form part of the ordinary operation of the Services and are not considered unsolicited marketing communications.
4.6. If you forget or lose your credentials, you may contact our support team for account recovery.
Verification may be conducted using the payment method information previously used for purchases. Such confirmation will be performed through the systems of licensed payment service providers, and Model.store will not access or store full unmasked payment details. You must never send your complete credit card information to Model.store via email or other communication channels.
4.7. You acknowledge that Model.store may, in compliance with data privacy regulations, use User
information and User Content (as defined in these Terms) to generate anonymized or aggregated reports, analytics, and usage statistics, which may be shared with third parties for lawful business purposes. Such data will not include personally identifiable information unless permitted by law or with your consent.
4.8. Model.store may, at any time and at its sole discretion, introduce or require additional features,
functionalities, or verification processes for account holders in order to access certain Services or advanced capabilities (for example, enhanced API functionality, billing dashboards, or usage analytics). Such additional features or verification steps may be mandatory for continued access or use of the affected parts of the Platform.
4.9. You remain responsible for any use of the Platform and Services under your account, including use
by your End Users. Model.store reserves the right to refuse registration, suspend or terminate accounts, or impose verification measures at its sole discretion, including for security, misuse prevention, or legal compliance purposes.
4.10. You must keep all API credentials confidential and not share them with any unauthorized person.
You are responsible for all use of the Services through your credentials. Model.store may implement or modify rate limits, concurrency limits, usage thresholds, and technical safeguards at any time to protect the Platform and Services. Model.store may suspend, rotate, or revoke API credentials immediately in the event of suspected misuse, security risk, or violation of these Terms.
5. Purchases and Payments
5.1. Model.store may make available access to Services or Content on a pay-per-use, prepaid credit, or
other usage-based pricing model. Customers may also be allowed to access certain features or Content free of charge for evaluation or testing purposes. Any such free access may be subject to limitations or restrictions set by Model.store and may be withdrawn at any time without notice.
5.2. When you purchase Services, Credits, or any other paid functionality on or through the Platform,
you enter into a legally binding contract with Model.store and/or such authorized service provider as may be designated by Model.store (including, without limitation, Zotlo (Z3P LLP) as Our merchant of record and reseller or any other duly appointed payment, billing, or sales intermediary) in accordance with these Terms and any applicable order confirmation, invoice, or accompanying agreement. The contract for the purchased Service shall be deemed concluded once your payment is successfully processed by Model.store or its designated provider, and access to or use of the purchased Service will commence immediately thereafter. Model.store reserves the right to delegate or assign payment collection, invoicing, and billing operations to one or more authorized providers or partners without requiring further consent from you, provided that such delegation does not alter your substantive rights and obligations under these Terms.
5.3. Payments for Services, Credits, or any other paid functionality on or through the Platform must be
made using the payment methods supported by Model.store and/or its authorized service providers, such as Zotlo(Z3P LLP) as Our merchant of record and reseller or any other third-party payment intermediary appointed by Model.store from time to time. These payment processors may include licensed financial institutions or payment gateways (e.g., credit card networks, ACH, or digital wallets). By completing a payment, you authorize Model.store and/or its designated payment provider to process the applicable transaction, including the storage and transfer of necessary payment and transaction identifiers to complete billing and invoicing. Your payment information (including credit card details) will not be stored or accessed directly by Model.store; such data will be securely handled by the licensed payment processor in accordance with applicable payment regulations and data-protection laws. Model.store reserves the right to modify or replace its payment processors or methods at any time without prior notice, provided that such changes do not impose additional fees or material burdens on you without your consent. You remain solely responsible for ensuring the accuracy of all payment information and for paying all amounts due under these Terms.
5.4. Access to the Services operates primarily on a pay-per-use basis, where each API request or
computation is charged based on the rate applicable at the time of use. Customers may pre-purchase Credits that are automatically deducted as usage occurs. The balance and deduction details are visible within the Platform’s billing interface. Model.store may apply expiration periods to unused Credits or minimum purchase thresholds, as described in the Payment, Cancellation and Refund Policy.
5.5. All prices, billing units, and availability of Services, Credits, or Content displayed through the
Platform are subject to change at any time prior to purchase. Model.store may update rates or introduce new pricing models in line with market or technical conditions, and such changes will apply prospectively to future purchases or renewals only. All prices are exclusive of applicable taxes, duties, and assessments unless otherwise stated. Customers are solely responsible for all taxes arising from their use or purchase of the Services, except for taxes on Model.store’s net income. You are solely responsible for the payment of all sales, use, value-added, withholding, digital service, and other indirect or direct taxes, duties, levies, tariffs, and assessments (collectively, the “Taxes”) now or hereafter imposed by any governmental authority in connection with your purchase, access,
or use of the Platform, Services, Credits, or Content, except for taxes based solely on the net income of Model.store or its designated service providers. Without limiting the foregoing: (a) You shall pay or reimburse Model.store, Zotlo(Z3P LLP), and/or any other authorized provider acting on behalf of value-added tax (VAT), goods and services tax (GST), customs duties, or equivalent charges, imposed under any jurisdiction, as may arise from payments, transactions, or use of the Services; (b) You shall not be entitled to withhold or deduct any Taxes from payments due under these Terms, unless such withholding is required by applicable law. If any withholding or deduction is required, you shall increase the total amount payable so that Model.store or its authorized provider receives the full amount it would have received absent such withholding; (c) You acknowledge that the invoicing entity may vary depending on your jurisdiction and the service provider designated by in any order confirmation are exclusive of Taxes unless expressly stated otherwise. Any applicable Taxes will be itemized at checkout or on your invoice and shall be paid at the same time as the underlying fees. You are responsible for determining your own tax reporting and compliance obligations under applicable law and for remitting any additional Taxes that may apply to your business use of the Services. Model.store and its authorized providers assume no responsibility for your tax liabilities or obligations beyond their own statutory requirements.
5.6. You are responsible for all amounts payable under your account, including any taxes, duties, or
assessments imposed by applicable authorities. Model.store may issue electronic invoices for all paid transactions, which will be accessible through your account or via email. You agree to provide accurate billing information and maintain it up to date at all times. You shall not set off, withhold, or reduce any amounts due under these Terms on account of any counterclaim, deduction, or withholding, except to the extent required by applicable law.
5.7. Except as otherwise expressly stated in the Payment, Cancellation and Refund Policy or required by
applicable law, all purchases are final, and no returns, replacements, or refunds will be granted once a transaction is completed. If Model.store, at its sole discretion, issues a refund or credit adjustment, such decision will not constitute a continuing obligation or precedent for future cases. Refunds for unused prepaid Credits, if any, will be handled exclusively in accordance with the Payment, Cancellation and Refund Policy available on the Platform. Customers are encouraged to review that policy carefully before purchasing Credits or Services.
5.8. Model.store may, from time to time, offer limited trial access or promotional use of certain Services
without charge or at reduced rates. Such access may be time-limited or feature-limited and may be subject to additional terms or restrictions. Model.store reserves the right to terminate or modify any trial or promotional access at any time without notice. Access to such trial periods may be limited to a certain number of users or a certain number of trials for each user during a given period, or other restrictions.
5.9. All payment processing, billing, refund, and credit expiration matters are governed by Model.store’s
Payment, Cancellation and Refund Policy, which is hereby incorporated into these Terms by reference. In case of any conflict between that policy and these Terms, the specific provisions of the Payment, Cancellation, and Refund Policy shall prevail with respect to payments, refunds, or billing procedures.
6. Intellectual Property Rights to the Platform
6.1. The Platform, Services, and all content, features, and functionalities made available through them,
including but not limited to software, APIs, models, source code, documentation, data, databases, algorithms, designs, text, graphics, logos, icons, interfaces, audiovisual materials, and trademarks (collectively, the “Model.store IP”), are and shall remain the exclusive property of Model.store and/or its licensors and are protected under applicable intellectual property, trade secret, and unfair competition laws. No title or ownership rights are transferred to you under these Terms.
6.2. Subject to your timely payment of all applicable fees, your continuing compliance with these Terms,
and your use of the Platform and Services in accordance with any applicable documentation or API specifications, Model.store grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform, Services, and Model.store IP solely for your own internal development, integration, and commercial application purposes. You may integrate or embed the Services or outputs generated through the Models into your own software, products, or solutions (“Customer Solutions”) and may make such Customer Solutions available to your End Users, provided that: (i) the End Users access and use only the outputs or functionalities of your Customer Solution, and do not directly access or interact with the Services, APIs, or Models; (ii) you remain fully responsible and liable for all use of the Services within your Customer Solution, including compliance with these Terms; and (iii) such use complies at all times with these Terms, all applicable laws, and any usage limits or technical restrictions communicated by Model.store. You shall not transfer, resell, sublicense, or otherwise grant any right to directly access or use the Platform, Services, APIs, or Model.store IP to any End User or third party, except as expressly permitted in writing by Model.store.
6.3. Except as expressly permitted in these Terms or in a separate written agreement with Model.store,
you shall not, and shall not permit any third party or End User to:
6.3.1. copy, reproduce, modify, translate, or create derivative works of any part of the Platform,
Services, or Model.store IP;
6.3.2. decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code,
underlying structure, or algorithms of any software or model;
6.3.3. remove, obscure, or alter any copyright, trademark, or other proprietary rights notices;
6.3.4. publicly display, sell, sublicense, rent, lease, lend, or distribute the Platform, Services, or
6.3.5. make the Platform, Services, or APIs available (in whole or in part) for direct use by any End
User or as part of any external-facing or publicly accessible product or service without
6.3.6. use any automated tools, scraping mechanisms, or similar technologies to access or extract
data from the Platform or Services;
6.3.7. interfere with or disrupt the integrity, performance, or security of the Platform or Services;
or
6.3.8. use the Platform, Services, or Model.store IP for any purpose other than the legitimate
business use expressly authorized herein.
6.4. You may access Model.store’s APIs only as expressly permitted under these Terms and any
applicable API documentation or additional license terms. Any attempt to develop, distribute, sublicense, or make available third-party applications, services, or integrations that interact with the APIs or the Services for use by End Users or other third parties without Model.store’s prior written
consent is strictly prohibited. Model.store may revoke API access or restrict functionality at any time if it determines that your use violates these Terms, applicable law, or reasonable usage limitations.
6.5. You may not frame, mirror, or otherwise incorporate any part of the Platform or Services into any
other website, application, or service without Model.store’s prior written consent. Model.store reserves the right to disable any unauthorized links or frames or to request their removal. link to or reference the Platform or Services.
6.6. All rights not expressly granted to you under these Terms are reserved by Model.store and its
licensors. Model.store may suspend, revoke, or terminate your access to any portion of the Platform, Services, or Model.store IP at any time, with or without notice, if it determines that you have violated these Terms, failed to pay applicable fees, or otherwise breached applicable law or usage conditions.
7. User Content and Output Content
7.1. All data, information, materials, questions, comments, suggestions, ideas, feedback, code samples,
or other content submitted, transmitted, uploaded, or otherwise provided by you or your End Users through or in connection with the Platform or Services (“User Content”) shall remain your property. However, by submitting or making available any User Content, you grant Model.store and its affiliates a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, distribute, process, analyze, display, and perform such User Content solely to: (a) operate, maintain, and improve the Platform and Services; (b) develop, enhance, and fine-tune Model.store’s models, APIs, and infrastructure; and (c) ensure the provision, functionality, security, and billing of the Services. User Content will not be considered confidential or proprietary unless otherwise agreed in writing. Model.store may, at its discretion, use anonymized or aggregated forms of User Content for analytics, performance optimization, and statistical reporting purposes.
7.2. The Services may generate results, outputs, or responses based on User Content or prompts
submitted through the APIs (“Output Content”). Subject to these Terms and to any applicable third- party model provider terms, you own the Output Content to the extent permitted by applicable law. that: (a) Output Content may not be unique across users and may be similar to content generated for other users; (b) Model.store does not guarantee that Output Content is accurate, reliable, original, or non-infringing; and (c) Model.store shall have a non-exclusive, perpetual license to retain and use Output Content in anonymized or aggregated form for legitimate operational and improvement purposes.
7.3. You acknowledge and agree that Model.store may, solely to the extent necessary for providing and
maintaining the Services, navigate, process, transmit, or direct limited data, including User Content or related technical information, to carefully selected third-party service providers acting on its behalf. Such data sharing shall always be limited to the purpose for which it is necessary, conducted through secure channels, and restricted to the categories of recipients described below:
7.3.1. Authentication and Identity Providers – e.g., Google, GitHub, or equivalent services, to
enable secure sign-in and account creation. Shared data may include name, email address, and provider-specific user IDs.
7.3.2. Payment and Billing Processors – e.g., Stripe or Zotlo, for processing payments and managing
invoices. Model.store does not store or retain full credit card or payment credentials.
7.3.3. Infrastructure and Hosting Partners – e.g., Amazon Web Services (AWS), Google Cloud, or
Cloudflare, for secure storage, data processing, and system performance.
7.3.4. Third-Party Model Providers – such as OpenAI, Google AI, or similar providers, to the extent
required to fulfill specific API requests initiated by you or your End Users. In such cases, only the technical parameters necessary to generate the model output (e.g., prompt, model identifier, and request metadata) are transmitted.
7.3.5. Model.store shall not disclose, sell, or otherwise make available any User Content, Output
Content, or personal data to third parties for marketing, profiling, or resale purposes. All data sharing is limited to the extent required for the operation, security, and improvement of the Services and is performed using encrypted and controlled transfer mechanisms.
7.4. You represent and warrant that:
7.4.1. you have all necessary rights, licenses, and permissions to submit User Content and to grant
the rights specified herein;
7.4.2. the User Content does not infringe, misappropriate, or violate any intellectual property,
moral, privacy, or publicity rights of any third party;
7.4.3. the User Content complies with applicable laws and does not contain illegal, harmful, or
restricted materials; and
7.4.4. any submission of User Content complies with all data protection obligations, including
those governing End User data.
7.5. You agree to defend, indemnify, and hold harmless Model.store, its affiliates, and their respective
officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to (i) any User Content you or your End Users submit or use through the Platform or Services, (ii) your violation of any third-party rights, or (iii) your breach of these Terms.
7.6. You grant Model.store the rights necessary to use your User Content and Output Content without
the need for attribution or additional compensation and to make reasonable modifications or adaptations to such content as necessary to operate, maintain, and provide the Platform and Services in accordance with these Terms.
8. Licenses and Third-Party Providers
8.1. Licenses or sublicenses to use the Services, APIs, or any related models, software, or digital content
(“Content”) are provided to you either directly by Model.store or, where applicable, by a designated third-party provider. Model.store operates the Platform to make such Content accessible to Developers and acts either as (i) a principal with respect to its own proprietary models and Services, or (ii) an agent, intermediary, or commissioner on behalf of selected third-party providers (including but not limited to OpenAI and Google) for the distribution and facilitation of access to their respective models and APIs.
8.2. In cases where the Content or Service is supplied by a third-party provider, you acknowledge and
agree that:
8.2.1. Model.store may not be a party to the sales or service agreement governing such Content;
8.2.2. the third-party provider remains solely responsible for the quality, functionality, legality, and
warranties of its Content and Services; and
8.2.3. any claims, liabilities, or remedies arising from your use of such Content shall be directed
exclusively to the respective provider, subject to its applicable end-user license agreement or terms of service.
8.2.4. You further acknowledge and agree that Model.store is an intended third-party beneficiary
of the applicable end-user or developer license terms for any such Content made available through the Platform and shall have the right (but not the obligation) to enforce those terms directly against you or the provider, as applicable, to the extent necessary to protect its legitimate interests and ensure compliance with these Terms.
8.3. Nothing in this Section shall limit Model.store’s rights or responsibilities for its proprietary models,
APIs, and Services made available directly under these Terms.
9. Prohibited Use
9.1. The Services and Platform are provided solely for lawful, commercial, and development purposes
as expressly permitted under these Terms. You may use the Platform, Services, and Content only in accordance with applicable laws, regulations, and these Terms. Any use, reproduction, distribution, or exploitation of the Platform, Services, or Content for purposes not expressly authorized herein is strictly prohibited. You are responsible for ensuring that all End Users accessing or benefiting from your integration or use of the Services also comply with this Section 9 and with these Terms.
9.2. Without limiting the generality of the foregoing, you (and your End Users, where applicable) shall
NOT, directly or indirectly:
9.2.1. Use the Platform, Services, or Content in violation of any applicable local, national, or
international law or regulation, including those governing data protection, intellectual property, consumer protection, export control, or AI safety;
9.2.2. Use the Services or Content to engage in, promote, or facilitate illegal, fraudulent, deceptive,
abusive, or unethical activities, including but not limited to money laundering, unauthorized surveillance, identity theft, gambling, harassment, discrimination, or dissemination of malware;
9.2.3. Use or permit the use of the Services or any Model output to generate, disseminate, or
otherwise make available content that is unlawful, harmful, defamatory, harassing, infringing, hateful, obscene, misleading, or that violates privacy or publicity rights;
9.2.4. Interfere with, disrupt, damage, disable, or impair the normal operation of the Platform,
Services, or related systems, or attempt to probe, scan, or test the vulnerability of any system or network;
9.2.5. Access, use, or attempt to access or use any portion of the Platform, Services, or Content
(including APIs, data, or documentation) that you are not expressly authorized to access or use;
9.2.6. Copy, modify, adapt, translate, decompile, disassemble, reverse engineer, or otherwise
attempt to derive source code, trade secrets, or underlying structure of any software, model, or system forming part of the Platform or Services, except to the limited extent expressly permitted by applicable law;
9.2.7. Use any scraping, data-mining, harvesting, or other automated tools (including bots,
crawlers, or scripts) to extract, index, or collect information or data from the Platform or Services;
9.2.8. Benchmark, evaluate, or test the performance of the Services or Models for competitive
purposes, or publish or disclose performance results without Model.store’s prior written consent;
9.2.9. Use or allow use of the Platform or Services in a way that overloads or degrades performance,
creates excessive API calls, or interferes with others’ access;
9.2.10. Bypass, disable, or interfere with any security, authentication, or usage-limiting features of
the Platform or Services;
9.2.11. Transfer, resell, sublicense, or otherwise permit any third party (other than your authorized
End Users) to access or use the Platform, Services, or Content without Model.store’s prior written authorization;
9.2.12. Manipulate, misuse, or fraudulently obtain Credits, pricing benefits, or pay-per-use
resources;
9.2.13. Disclose, copy, or use confidential or proprietary information of Model.store except as
expressly permitted by these Terms; or
9.2.14. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the
Platform, Services, or Content.
9.3. Any prohibited use or breach of this Section 9 and Terms may result in immediate suspension or
termination of your access to the Platform and Services, deletion of your account, loss of Credits, and/or legal action for damages or injunctive relief. Model.store reserves all rights and remedies available under applicable law and equity.
9.4. You are fully responsible for the acts and omissions of all End Users who access or benefit from the
Services through your integration or application. Any violation of these Terms by an End User shall be deemed a violation by you. You must implement reasonable technical and contractual measures to ensure End Users comply with these Terms and with applicable law, and you agree to indemnify
10. Third-Party Websites, Applications, and Content
10.1. The Platform and Services may contain links or references to third-party websites, platforms, APIs,
applications, products, or other content (“Third-Party Content”). You may also view or interact with Third-Party Content as part of your use of the Services. Such Third-Party Content is provided solely for your convenience and may include, without limitation, authentication services (such as Google, GitHub), model providers (such as OpenAI, Google), infrastructure providers, or other integrated services.
10.2. Model.store does not control, operate, or endorse any Third-Party Content and makes no
representations or warranties of any kind regarding its accuracy, completeness, reliability, legality, or appropriateness. You acknowledge and agree that Model.store has no obligation to monitor, examine, or evaluate any Third-Party Content, and Model.store disclaims all responsibility and liability for any Third-Party Content that may be inaccurate, incomplete, misleading, offensive, or otherwise objectionable. Access to and use of any Third-Party Content are entirely at your own discretion and risk.
10.3. When you click on a link to or otherwise access any Third-Party Content, you will be subject to the
separate terms and conditions, privacy policies, and other contractual or legal requirements applicable to that third party. Model.store is not a party to, and does not assume any responsibility for, such agreements. You are solely responsible for reviewing and complying with all applicable terms and policies of such third parties.
10.4. Model.store shall not be liable for any loss, damage, claim, or expense (including data loss, service
interruption, or any indirect or consequential damages) arising from or related to your access to, reliance on, or use of any Third-Party Content or services. You understand and agree that your interactions with any third party are strictly between you and that third party, and Model.store bears no responsibility for any acts, omissions, or failures of such parties.
10.5. If you integrate any Third-Party Content into your own applications or make such integrations
available to your End Users, you are solely responsible for ensuring that (i) such integration complies with the applicable third-party terms; (ii) your End Users are made aware of and accept those terms as required; and (iii) your use of the Third-Party Content does not infringe upon any rights or obligations of Model.store or the third-party provider.
11. Data Processing and Privacy
11.1. Model.store processes personal, technical, and usage data strictly in accordance with its Privacy
Policy and Cookie Policy, which form an integral part of these Terms. By accessing or using the Platform or Services, you acknowledge and agree to such processing as described therein. improve the Platform and Services and engages reputable third-party providers under appropriate safeguards where required. Model.store does not sell or lease personal data for marketing or unrelated commercial purposes. For details on data categories, purposes, retention, transfers, and user rights, please refer to the Privacy Policy.
12. Warranty Disclaimer
12.1. THE PLATFORM, SERVICES, AND ALL CONTENT, INCLUDING ANY MODELS, APIS, OR
OUTPUT CONTENT, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. MODEL.STORE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
12.2. MODEL.STORE DOES NOT GUARANTEE THAT THE PLATFORM OR SERVICES WILL ALWAYS
FUNCTION WITHOUT DELAY, DISRUPTION, ERROR, OR SECURITY VULNERABILITY, OR THAT ANY DEFECTS WILL BE CORRECTED. SERVICE AVAILABILITY MAY VARY DUE TO SYSTEM UPDATES, MAINTENANCE, NETWORK CONDITIONS, OR FACTORS BEYOND MODEL.STORE’S REASONABLE CONTROL.
12.3. YOU ACKNOWLEDGE THAT THE TRANSMISSION OF DATA OVER THE INTERNET
INVOLVES INHERENT RISKS AND THAT ANY DATA, CONTENT, OR INFORMATION STORED, PROCESSED, OR TRANSMITTED VIA THE PLATFORM MAY BE LOST, DELAYED, INTERCEPTED, CORRUPTED, OR OTHERWISE COMPROMISED. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF YOUR DATA, AND MODEL.STORE SHALL NOT BE LIABLE FOR ANY DATA LOSS, CORRUPTION, OR DELAY.
12.4. MODEL.STORE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR
QUALITY OF ANY INFORMATION OR CONTENT PROVIDED THROUGH THE PLATFORM OR SERVICES, INCLUDING OUTPUTS GENERATED BY ARTIFICIAL INTELLIGENCE MODELS. OUTPUT CONTENT MAY BE INACCURATE, INCOMPLETE, OR NON-UNIQUE AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION.
12.5. MODEL.STORE DISCLAIMS ALL LIABILITY FOR ANY HARM, LOSS, OR DAMAGE ARISING
FROM YOUR RELIANCE ON ANY OUTPUT CONTENT, OR FROM YOUR INTERACTIONS WITH OR USE OF ANY THIRD-PARTY CONTENT, MODELS, APIS, OR WEBSITES ACCESSIBLE THROUGH THE PLATFORM. ANY DEALINGS WITH THIRD-PARTY PROVIDERS OR INTEGRATIONS ARE AT YOUR SOLE RISK.
12.6. While Model.store undertakes reasonable measures to secure and maintain the Platform, it does not
guarantee that the Platform or Services are free from viruses, malware, unauthorized access, or other harmful components. You are responsible for implementing appropriate security measures within your systems.
12.7. Model.store provides no warranty or commitment to provide continuous support, maintenance, or
updates unless expressly stated otherwise in a separate written agreement.
12.8. You expressly acknowledge and agree that your use of the Platform, Services, and Content is at your
sole risk and discretion, and that no advice, information, or statement obtained from Model.store or through the Platform shall create any warranty not expressly set forth in these Terms.
12.9. To the maximum extent permitted by applicable law, Model.store expressly disclaims all statutory,
implied, or other warranties not expressly stated herein, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
12.10. No marketing materials, documentation, or statements made by Model.store or its representatives
shall create any warranty or representation not explicitly contained in these Terms.
13. Indemnity
13.1. You agree to indemnify, defend, and hold harmless Model.store, together with its affiliates, directors,
officers, employees, agents, and service providers, from and against any and all losses, damages, liabilities, claims, demands, or expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your access to or use of the Platform, Services, or Content; (ii) your breach of these Terms or of any applicable law; (iii) any violation of third-party rights, including intellectual property, data protection, or privacy rights, by you or any End User accessing the Services through your integration; or (iv) any misuse, abuse, or unauthorized use of the Platform, Services, or Content by you or your End Users.
13.2. Model.store reserves the right, at its own discretion and at your expense, to assume the exclusive
defense and control of any matter for which you are required to indemnify Model.store under this Section, and you agree to fully cooperate with Model.store in defending such matters. You shall not settle or resolve any claim that may impose an obligation or admission of liability on Model.store without its prior written consent.
13.3. The obligations under this Section shall survive the termination or expiration of these Terms or your
use of the Platform or Services.
14. Limitation of Liability
14.1. To the maximum extent permitted by applicable law, Model.store shall not be liable for any indirect,
incidental, consequential, exemplary, punitive, or special damages, or for any loss of profits,
revenue, data, goodwill, or business opportunities, whether arising in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Model.store has been advised of the possibility of such damages. Without limiting the foregoing, Model.store shall have no liability for any damages, losses, or claims resulting from or connected to (i) your access to or use of, or inability to access or use, the Platform, Services, or Content; (ii) any interruption, suspension, delay, or unavailability of the Services; (iii) any errors, defects, bugs, viruses, or unauthorized third-party activities; (iv) any reliance on or use of Output Content, model responses, or other information obtained through the Platform; or (v) any actions or omissions of third-party providers or End Users.
14.2. IN ALL CASES, AND NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS, THE
TOTAL AGGREGATE LIABILITY OF MODEL.STORE FOR ALL CLAIMS, DAMAGES, AND LOSSES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THESE TERMS, THE PLATFORM, THE SERVICES, OR THE CONTENT, REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS (USD 100) OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO MODEL.STORE FOR THE SERVICES GIVING RISE TO THE CLAIM WITHIN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
14.3. The foregoing limitations and exclusions shall apply even if any remedy provided under these Terms
fails of its essential purpose. Certain jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the liability of Model.store shall be limited to the maximum extent permitted by applicable law.
15. Risk Disclosure
15.1. You acknowledge and agree that access to the Platform and Services may be limited, delayed,
degraded, or temporarily unavailable during periods of high system demand, technical maintenance, or network congestion. Such interruptions may affect your ability to access your account, perform API calls, execute transactions, or receive timely responses, and may also result in delayed support response times. Model.store shall not be liable for any damages, losses, or delays resulting from such temporary service degradation or unavailability.
15.2. The Platform, Services, and Content, including any materials, information, or Output Content, may
not always be entirely accurate, complete, current, or error-free, and may contain technical inaccuracies or typographical errors. Model.store makes no warranty or representation regarding the accuracy, reliability, or completeness of any information, model output, or data made available through the Platform.
15.3. The operation and availability of the Platform and Services depend on various third-party
infrastructure providers, technology partners, and model suppliers. If Model.store’s relationships with such third parties are modified, suspended, or terminated; if their pricing, terms, or availability change; or if such providers experience outages, legal restrictions, or other disruptions, access to or functionality of the Services or Content may be adversely affected. Model.store assumes no liability for interruptions or limitations arising from dependencies on third-party systems or networks.
15.4. If you have any dispute or conflict with another user, third-party provider, or any external party
related to your use of the Platform, Services, or Content, you hereby release Model.store from all claims, demands, and damages of any kind or nature, known or unknown, arising out of or connected with such disputes. In providing this release, you expressly waive any statutory or legal
protections that would otherwise limit its scope, including any rights that would preserve claims you may not know or suspect to exist at the time of this release.
16. Term and Termination
16.1. Model.store may, at any time and at its sole discretion, with or without prior notice, and without
liability to you, suspend, restrict, or discontinue the operation of the Platform or the provision of the Services, in whole or in part, including where the continued offering of the Services is no longer technically, legally, or commercially feasible or reasonable for Model.store.
16.2. Model.store may immediately suspend or terminate your access to the Platform, Services, or account,
and may delete or deactivate your account and any related information or data, if you (i) breach these Terms or any applicable law or regulation; (ii) fail to pay any amounts due; (iii) engage in any misuse, abuse, or fraudulent or unauthorized use of the Platform or Services; (iv) act in a manner that may cause harm, risk, or liability to Model.store, its systems, or other users; or (v) otherwise violate any policy, instruction, or technical requirement issued by Model.store from time to time.
16.3. You acknowledge that Model.store’s decision to take certain actions under this Section, including
limiting access to, suspending, or closing your account or restricting use of the Services, may be based on internal and confidential risk management, compliance, or security considerations. You agree that Model.store is under no obligation to disclose the details or rationale of such measures.
16.4. Termination or suspension of your access does not relieve you of any outstanding payment
obligations or liabilities accrued prior to such action. All provisions of these Terms which by their nature should survive termination (including confidentiality, intellectual property, indemnity, and limitation of liability) shall remain in full force and effect.
17. Force Majeure
17.1. Model.store shall not be liable for any delay, failure, loss, or damage arising from circumstances or
events beyond its reasonable control, including but not limited to acts of God, natural disasters, floods, fires, earthquakes, epidemics or pandemics, war, terrorism, civil unrest, strikes, lockouts, labor disputes, acts or omissions of governmental or regulatory authorities, embargoes, failures or delays of suppliers or service providers, power or telecommunications failures, internet outages, or failures of networks, systems, equipment, or software (each a “Force Majeure Event”).
17.2. During the continuation of a Force Majeure Event, Model.store’s obligations under these Terms shall
be suspended to the extent affected by such event, and the time for performance shall be extended accordingly. Model.store will use commercially reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance as soon as practicable.
18. Entire Agreement
18.1. These Terms constitute the entire and exclusive agreement between you and Model.store with
respect to your access to and use of the Platform, Services, and Content, and supersede and replace any prior or contemporaneous agreements, understandings, or representations, whether written or oral, relating to the same subject matter. In addition to these Terms, your use of the Platform and Services is subject to the Privacy Policy, Cookie Policy, and Payment, Cancellation and Refund Policy, as well as any other policies, guidelines, or documents made available on the Platform and updated from time to time which are incorporated by reference into these Terms and form an integral part of your agreement with Model.store. If you have entered into a separate written agreement with
agreement shall prevail in the event of any conflict, but only with respect to the specific Services or subject matter it governs.
19. Amendment
19.1. Model.store may amend, update, or modify these Terms, as well as any related policies, guidelines,
or documents available on the Platform, at any time and without prior specific notice. The most recent version of the Terms will always be published on the Platform and will indicate the effective date. All amendments become effective upon publication unless otherwise stated. Your continued access to or use of the Platform or Services after the updated Terms have been published constitutes your acceptance of the changes. You are responsible for regularly reviewing the latest version of these Terms and related policies made available on the Platform.
20. Waiver
20.1. Any failure or delay by Model.store in exercising any right, power, or remedy under these Terms
shall not operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of the same or any other right, power, or remedy.
21. Assignment
21.1. You may not assign, delegate, or transfer any of your rights or obligations under these Terms to any
third party without the prior written consent of Model.store. Any attempted assignment in violation of this provision shall be null and void. Model.store may assign or transfer any or all of its rights and obligations under these Terms, in whole or in part, to any affiliate, successor entity, or third party without your consent and without prior notice to you.
22. Severability
22.1. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent
authority, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of Model.store. The remaining provisions shall remain in full force and effect.
23. International Availability
23.1. Access to and availability of the Platform and Services, including specific features, integrations, or
language versions, may vary by country or region. Model.store makes no representation that the Platform, Services, or Content are appropriate or available for use in all jurisdictions, and access to them from territories where their operation or content is unlawful is prohibited. Model.store may, at its sole discretion, restrict, suspend, or discontinue the provision of the Platform or any part of the Services in any jurisdiction or to any user where continued availability would be commercially unreasonable, technically infeasible, or in violation of applicable law or regulatory requirements. You are solely responsible for ensuring compliance with all local laws and regulations applicable to your access to and use of the Platform and Services.
23.2. You represent and warrant that neither you nor any of your End Users (i) are located, organized, or
ordinarily resident in any jurisdiction subject to comprehensive trade sanctions, embargoes, or other restrictive measures under applicable export control, sanctions, or anti-boycott laws; (ii) are identified on, or owned or controlled by any entity listed on, any government-issued sanctions, denied-party, or restricted-entity list; or (iii) will access, use, export, re-export, transfer, or otherwise make available the Platform, Services, or Content in violation of any applicable export control,
sanctions, or anti-boycott laws and regulations. You are responsible for implementing reasonable compliance measures to ensure that your End Users and any downstream recipients of your Customer Solutions also adhere to these obligations. Model.store reserves the right to suspend or terminate access to the Platform or Services where it reasonably determines that such access would violate or risk violation of applicable trade or export control laws.
24. Governing Law and Dispute Resolution
24.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales,
without regard to its conflict of laws rules.
24.2. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any
question regarding their existence, validity, interpretation, breach, or termination, shall be finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).
24.2.1. The number of arbitrators shall be one (1).
24.2.2. The seat, or legal place, of arbitration shall be London, England.
24.2.3. The language of the arbitration shall be English.
24.2.4. The arbitration award shall be final and binding on the parties.
24.2.5. Nothing in this clause shall prevent Model.store from seeking injunctive or equitable relief
in any competent court to prevent immediate and irreparable harm.
25. Miscellaneous
25.1. These Terms are drafted in English and the English version controls. Any translations are provided
solely for convenience and shall not modify the meaning or interpretation of the English version.
25.2. Model.store may provide notices under these Terms by posting on the Platform and/or by sending
email to the address associated with your account. Such notices are deemed given when posted or when the email is sent, respectively. Notices to Model.store must be sent to the contact method identified on the Platform’s “Contact” or “Legal” page and are deemed given when received.
